Infiniti’s “Design Sebastian Vettel’s USA Grand Prix helmet” Contest
NO PURCHASE NECESSARY. Making a purchase will not improve your chances of winning a prize.
Open to Legal Residents of the 50 United States including the District of Columbia (“D.C.”) who are 18 years of age and older. Void elsewhere and where prohibited.

OVERVIEW:
Infiniti would like to invite you to submit a helmet design which is creative and inspiring.
.
1 – CONTEST DATES:  The Infiniti “Design Sebastian Vettel’s USA Grand Priz helmet” Contest (the “Contest”), sponsored by Nissan North America, Inc of 1 Nissan Way, Franklin, TN 37067 (“Infiniti USA”) begins at 10:00:00 AM Eastern Time (“ET”) on September 4, 2013 and ends at 11:59:59 PM ET on September 29, 2013 (“Entry Period”).  For purposes of this Contest, a “day” is defined as a 24-hour period, beginning at 12:00:00 AM ET and ending at 11:59:59 PM ET.  The Sponsor’s computer, or that of its designee, runs the official clock for the Contest and will solely determine the time by which an entry is received. 

2 - ELIGIBILITY:  This Contest is open only to legal residents of the 50 United States  including D.C. who are 18 years of age or older at the time of entry. YOU MUST BE 18 YEARS OF AGE OR OLDER TO ENTER THIS CONTEST.  Employees, officers and directors of Sponsor, its parent company, affiliates, subsidiaries and advertising and promotion agencies, and members of the immediate families (defined for these purposes as including spouse, biological, adoptive and step-parents, children, grandparents, grandchildren and siblings and each of their respective spouses, regardless of where they reside) or households (whether related or not) of any of the above are not eligible to enter and/or win a prize.  Void outside the 50 United States/D.C. and where prohibited.  By participating, entrants agree to abide by and be bound by these Official Rules and to accept decisions of the Sponsor as final in all matters relating to this Contest.  Sponsor reserves the right in its sole discretion to disqualify any entry at any time which, in Sponsor’s opinion, does not comply with these Official Rules.  This Contest is subject to all applicable federal, state and local laws and regulations. 

3 - HOW TO ENTER: 
[1] Go to the Infiniti website and access the competition page (http://www.infiniti-gp.com/competition/vettel-austin-helmet) during the Entry Period;
[2] Click through to the [page] page and follow the on-screen instructions regarding creation of your submission either using the design tool made available on the website (“Online Entry”) or by uploading a design made offline (“Offline Entry”).  Please note that there are specific technical instructions, and these are available on the website;
[3] Complete the registration form by providing the information required which will include your first and last name and your email address.
[4] Confirm you are over 18 years of age;
[5] Agree to the Official Rules; and
[6] Click the submit button to be entered.
You must complete all stages during the Entry Period.
Once you click the submit button your entry will be submitted for moderation and judging (see clause 4).  If an entrant changes his/her email address after he/she enters the Contest, it is his/her sole responsibility to notify the Sponsor by postal mailing notice to Sponsor’s address listed below in Rule 9 to be received by the end of the Entry Period.

Design Content Guidelines:
• Incomplete Entries are void.
• Details on technical specifications are as follows: 
o Online Entry: the templates are set up such that all entries made using the Online Entry tool will be technically compliant.
o Offline Entry: your submission should be no wider than 3000 pixels, no larger than 10MB and in JPEG format.
• By entering, Entrants acknowledge compliance with these Official Rules including all eligibility requirements.
• Entry must be Entrant's own original creation executed solely by Entrant, may not have won any previous award or been submitted in any other competition, and must be a previously unpublished and previously un-produced work.
• Entry must be in keeping with Sponsor's image and may not be obscene, indecent or otherwise offensive, as determined by judges or Sponsor at their sole discretion, nor can the design defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person's personal or proprietary rights, including but not limited to intellectual property rights, and the right to submit or use same shall not be restricted.
• Content cannot promote any activities that may appear unsafe or dangerous.
• Content cannot be obscene or offensive, or endorse any form of hate or hate group.
• Content cannot defame, misrepresent or contain disparaging remarks about any person or entity, including but not limited to the Sponsor and its parent company, affiliates, subsidiaries, agencies and the officers, directors, agents and employees of each of the foregoing, and all others associated with the development and execution of this Contest, as determined in the sole discretion of the Sponsor.
• Content cannot contain any material that may, in the sole judgment of Sponsor, infringe on the intellectual property rights of any third party, including but not limited to, copyrights or trademarks owned by others.
• Content cannot advertise or promote any third party brand or product of any kind or contain any personal identification, including, but not limited to: license plate numbers, personal names, e-mail addresses, phone numbers, or street addresses.
• Content cannot contain materials embodying the names or other indicia of, or identifying any person, living or dead (other than yourself), unless appropriate permission and releases have been obtained for your use of such material in your essay.
• Content cannot communicate messages inconsistent with the messages, policies, and/or goodwill with which the Sponsor wishes to associate, as determined in the sole discretion of the Sponsor.
• Content cannot be in violation of any applicable federal, state, and/or local laws, rules, and regulations.

Sponsor reserves the right to disqualify any design submission for any reason, in its sole and absolute discretion, including the determination in its sole discretion that a design submission fails to satisfy any of the above Design Content Guidelines, or is inconsistent with the goals, image, or policies of the Sponsor.

Submission of an Entry grants Sponsor the right to use, publish, adapt, assign, edit, dispose of, and/or modify such Entry and the concepts embodied therein in any way, in commerce and in any and all media worldwide, without limitation or compensation to the Entrant who may be required to sign a release to that effect. Submission of an Entry further constitutes the Entrant's consent to irrevocably assign and transfer to the Sponsor any and all rights, title and interest in and to the Entry and the concepts embodied therein. Such rights, title and interest shall include, but are not limited to, all intellectual property, sales and licensing rights. Entries become the sole property of the Sponsor and will not be returned or acknowledged. You understand that you are providing your information to the Sponsor and PromoVeritas Limited. (the "Administrator") and that the information you provide will only be used for the purpose of contacting potential winners. The Sponsor and the Administrator will not share this information with third parties (other than the Sponsor's or Administrator's prize fulfillment agent, if applicable) or use this information for marketing or promotional purposes. Once the promotion has ended, all information supplied by entrants who opt not to receive additional information will be removed from the database.

4 - CONTEST JUDGING/JUDGING CRITERIA/GRAND PRIZE NOTIFICATION: On or about 30 September, a panel of judges consisting of the Sponsor and/or Administrator and their representatives (the “panel”) will score each eligible Entrant’s submission based on the following Judging Criteria (the “Judging Criteria”):

A. Effective use of available space –  (30% of total score)
B. Originality of idea for design and execution  - (40% of total score)
C. Quality of design -  (30% of total score)

Based on the panel’s scores, the [ten] highest scoring entries will be passed to Sebastian Vettel, who will determine which entry is to be the Grand Prize winner, pending verification of eligibility.  The judges' (including the panel and Sebastian Vettel) decisions are final and binding on all matters relating to the Contest Grand Prize winner selection. Becoming a Grand Prize winner is subject to validation and verification of eligibility and compliance with all terms and conditions set forth in these Official Rules. The potential Grand Prize winner will be required to complete and sign an Affidavit of Eligibility and Liability Release, where legal, a Publicity Release, and IRS Form W-9, all of which must be returned via fax by October 13 , 2013 along with details of the proposed guest. If such documents are not returned within the stated time frame or are returned as undeliverable, the potential Grand Prize winner will be disqualified and the next highest scoring will be determined based on the judging criteria and notified as per the procedures described above, time permitting.  Grand Prize Winner will be required to furnish his/her social security number that will be used only for purposes of reporting the Grand Prize Winner’s prize earnings to the Internal Revenue Service, as required by law.  Except where prohibited by law, by accepting a prize, winner’s consent to the use of their name, photograph, limited biographical information (city/state), voice and likeness for advertising or publicity purposes by Sponsor in commerce and in any and all media worldwide, in perpetuity, without limitation and without additional compensation, notice or permission.

5 - PRIZE:  One (1) Winner will receive the following prize:
1. a 3-night stay for two in 4* accommodation (Approximate Retail Value (“ARV”) $2,500) in twin or double bed accommodation (breakfast included).  The winner and guest (who must be 18 years of age or older) must be available to travel Thursday November 14, 2013 to Monday, November 18, 2013.  Includes round trip coach flights for two (might not be direct) to Austin, Texas from a major US gateway international airport (ARV: $1,230.00) and return private transfers (for two) from airport to hotel in Austin, Texas together with transfers from hotel to the Grand Prix each day of the Grand Prix (ARV for all transfers $1300, all meals during the course of the Grad Prix (lunch and dinner Friday – Sunday inclusive, ARV$600), Paddock Club VIP tickets to watch the Grand Prix (ARV$5070) and exclusive merchandize (ARV$777).  All itinerary activities for two people.  .  All expenses not set out above are the responsibility of winner and guest.  Actual value may vary based upon point of departure and dates of travel.  Additionally, the Grand Prize winner will not receive cash or any other form of compensation if actual travel costs are less than the estimate made in these Official Rules. 

2. The winning design will be made into a helmet which will be worn by Sebastian Vettel in the United States Grand Prix (free practice session and Qualifying session).

3. The winner will receive a replica of the helmet they designed (ARV$3323). 

4. Grand Prize Winner will receive a cash payment equal to 30% of the actual cost of the Grand Prize to assist in payment of US taxes.

5. The Total ARV of the prize is $12,000 

The Odds of winning a prize depend on the total number of eligible entries received during the Entry Period and the ability of the entrant to score highly on the judging criteria. The prize will be awarded in accordance with these Official Rules. The prize is nontransferable, non-assignable and may not be redeemed for cash or otherwise substituted in whole or in part except as provided herein. Sponsor reserves the right, in its sole discretion, to substitute the prize (or a portion thereof) with cash or another prize of equal or greater value in the event the advertised prize (or a portion thereof) becomes unavailable for any reason.  Any taxes on the prize are the sole responsibility of the winner.

Additional Conditions of Grand Prize Trip: Package is valid for travel on Friday 15 through Monday 18 November, 2013 – winner must be available to travel on these dates, or forfeit the prize. Package components are subject to availability. Package is for two people traveling together and sharing one room. Airline tickets are non-refundable unless permitted by the terms of the fare used. Cancellation and change fees may apply. Package does not include hotel and room incidental costs, gratuities, airline baggage fees, or any other items of a personal nature. Participating property may change without notice. Sponsor assumes no liability for injuries and no responsibility for delays caused by accidents, breakdown, or other conditions beyond control. Not responsible for loss or damage to property. No credit will be issued for unused days, inclusions or airfare credit. Other terms and conditions apply. Award has no cash value. Winner and guest must travel together and on the same itinerary, or prize will be forfeited and, at Sponsors discretion, awarded to a potential alternate winner.  Winner and guest must possess and are responsible for obtaining and must have valid ID or other required documentation for travel to Austin, Texas.  Prize will be forfeited if any complications arise which prevent the Winner and or guest from entering, leaving or travelling within Austin, Texas.  Travel arrangements must be made through Sponsor’s agent and on a carrier of Sponsor’s choice.  Reservations are subject to availability.  Winner and travel companion are responsible for obtaining travel insurance (and all other forms of insurance) that they may wish to obtain (at their own expense) and hereby acknowledges that the Sponsor has not and will not obtain or provide travel insurance or any other form of insurance.  All other expenses relating to acceptance of the Grand Prize that are not explicitly stated herein, such as but not limited to obtaining valid passports, taxes, baggage fees, ground transportation, special seating assignments, meals, beverages of any type, laundry services, merchandise, room service, service charges, souvenirs, telephone calls and gratuities and tips are the responsibility of prize winner and guest. No cash equivalents, transfers or substitution of prizes permitted except at the sole discretion of the Sponsor, who reserves the right to substitute a prize (or portion thereof) of comparable or greater value, at its sole discretion.  Winner is responsible for the payment of all taxes on the prize.  Winner is bound by the terms and conditions of all airlines, hotels and other third party service providers used in connection with the Prize.  Sponsor is not responsible if tickets, travel vouchers, certificates, gift card or other similar items are lost, stolen, mutilated or misplaced by Winner and will not be replaced or if booked transportations are missed for any reason.  Airline tickets issued in conjunction with the prize are not eligible for frequent flyer miles, and no code share flights may be used.  The prize cannot be used in conjunction with any other promotion or offer.  The Winner or the Guest must provide the hotel with a valid credit card for incidentals (including room service, mini-bar and pay-per-view television) and/or damages to the hotel room.  In the event that any part of the trip or any of the events associated with the trip are unable to take place as planned, for reasons including, but not limited to scheduling conflicts, cancellations, postponement, delays, an event of force majeure, or for any reason whatsoever, then the remaining components of the prize shall constitute full satisfaction of Sponsor’s prize obligation to the prize Winner, and no other or additional compensation will be awarded.  Complete terms and conditions of trip will be furnished with prize notification.

6 - LIMITATION OF LIABILITY/VENUE/GOVERNING LAW: By entering, all Entrants agree to release and hold harmless Sponsor and its parent company, affiliates, subsidiaries, agenciesand the officers, directors, agents and employees of each of the foregoing, and all others associated with the development and execution of this Contest (collectively, the “Released Parties”), from and against any and all liability with respect to, or in any way arising from or in connection with, participation in this Contest and/or the acceptance, possession or use of a prize (if applicable), including but not limited to travel related thereto (if prize is awarded to Entrant), including, but not limited to, liability for personal injury, bodily injury, death, damages or loss of any kind. By accepting a prize manufactured by a third-party manufacturer, winners acknowledge and agree that the Released Parties have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the prize, including without limitation, its quality, mechanical condition or fitness for a particular purpose.  Entrants further agree that (a) any and all disputes, claims and causes of action arising out of, or connected with, this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate state or federal court located in in the State of New York; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including but not limited to costs associated with entering this Contest but in no event attorneys’ fees; and (c) to the extent allowed by applicable law, under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental and/or consequential damages and/or any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrants’ rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the substantive laws of the State of New York without regard to the conflicts of laws principles of any jurisdiction.

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest-related materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.

7 - ADDITIONAL TERMS AND CONDITIONS: The Released parties are not responsible for: (i) electronic transmissions or entries that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected, undelivered, or not received by Sponsor for any reason; (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures or human error that may occur in the transmission, receipt or processing of entries; (iii) destruction of or unauthorized access to, or alteration of, entries; or (iv) failed or unavailable hardware, network, software or telephone transmissions, or any other causes that jeopardize the administration, security, fairness, integrity or proper conduct of this promotion. All nonconforming entries will be disqualified. Released Parties are further not responsible for: (i) incorrect or inaccurate entry or prize claim information whether caused by Entrant or by any of the equipment or programming associated with or utilized in the promotion, or for any other errors of any kind, whether technical, network, printing, typographical, human or otherwise, in any promotion-related materials or in the announcement of prize winners; or (ii) misrepresentation, cheating or fraud by any Entrant. If any of the foregoing malfunctions, errors, defects or acts render the promotion incapable of operating as planned, Sponsor, at its sole discretion, may terminate this Contest and select the winners in a random drawing from among all eligible entries received prior to the date/time of termination or in any other manner deemed fair and equitable by Sponsor.
CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. 

8 – WINNER INFO: For the name of the Prize winner, send an email to the following email address winners@mkpromosource.com with “Infiniti” in the title. Requests must be received by December 15, 2013. The list will be sent when the winner has been verified.
